1. Introduction

Cinetica AI is a product operated by Vervet Logic LLC, located at 805 Lake Street, No. 172, Oak Park, IL 60301, United States.

These Terms of Service ("Terms") govern your access to and use of Cinetica AI, including our website, mobile applications, and related services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. What Cinetica AI does

Cinetica AI provides tools to generate and orchestrate AI-powered media, including videos, images, and related assets, using third-party models and providers. We process prompts, uploads, templates, settings, and related inputs to deliver generated outputs through the Service.

3. Eligibility & accounts

• You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
• You agree to provide accurate account information and keep it up to date.
• You may not share, transfer, sell, or otherwise provide access to your account to any other person or entity.

4. Credits, pricing & payments

Cinetica AI operates on a usage-based credit system. Credits represent the right to initiate AI generation tasks and related processing operations within the Service.

4.1 Dynamic credit usage

The number of credits required for a generation depends on multiple factors, including but not limited to:

• selected model;
• output duration;
• resolution, aspect ratio, or format;
• generation settings, features, and configuration.

Before initiating a generation, the Service displays an estimated credit cost based on the selected parameters. By proceeding with a generation, you agree to the estimated credit cost shown at the time of submission.

Actual credit usage may vary slightly due to provider behavior, system-level adjustments, or processing differences.

4.2 Credit deduction

Credits are deducted when a generation is initiated. Once processing has begun, those credits are considered consumed.

4.3 Failed generations

If a generation fails due to a system error, provider failure, or technical issue, credits may be restored to your account at our discretion.

4.4 No refund policy

All purchases of credits, subscriptions, and promotional balances are final and non-refundable, except where required by applicable law.

Refunds are not provided for:

• dissatisfaction with generated outputs;
• unused credits remaining in your account;
• accidental purchases;
• changes in business needs or intended use;
• misunderstanding of Service functionality.

4.5 Credit validity

Credits do not expire unless explicitly stated at the time of purchase or promotion. Credits are non-transferable and may not be sold, assigned, exchanged, or resold between accounts.

4.6 Pricing changes

We may update pricing, credit costs, credit consumption rates, and plan structures at any time. Changes apply prospectively and do not affect credits already consumed.

4.7 Chargebacks & payment abuse

Filing a chargeback or payment dispute without first contacting us to resolve the issue may be treated as a violation of these Terms. Accounts involved in abusive payment behavior may be suspended or terminated.

4.8 Monitoring & anti-abuse

We may monitor usage patterns to detect fraud, abuse, misuse, or attempts to circumvent system limits. Accounts engaged in such activities may be restricted, suspended, or permanently terminated. We reserve the right to take appropriate legal action in cases of fraud or misuse.

5. Content & ownership

You retain ownership of prompts, uploads, and other original assets you provide to Cinetica AI.

Subject to applicable law and any relevant third-party provider limitations, you may generally use outputs you generate for personal and commercial purposes as described in these Terms.

By using the Service, you grant Cinetica AI a limited, non-exclusive license to process your inputs and outputs solely:

• to operate the product and deliver results to you;
• to maintain security, prevent abuse, and debug issues;
• to maintain, improve, and support system performance; and
• to generate anonymized and aggregated metrics that help improve the Service.

We do not claim ownership of your content.

6. Commercial usage rights

Subject to these Terms, applicable law, and any relevant third-party restrictions, you may use generated outputs for commercial purposes, including:

• advertising and marketing campaigns;
• social media content;
• websites and e-commerce listings;
• client work and agency services;
• paid media and brand promotion.

No attribution to Cinetica AI is required unless otherwise stated.

Commercial rights apply only to content generated through valid, authorized use of the Service. Such rights may be revoked if you violate these Terms or obtain content through fraud, abuse, or unauthorized means.

7. Acceptable use

You agree not to use Cinetica AI to generate, upload, distribute, or facilitate content or conduct that:

• violates applicable laws or regulations;
• infringes, misappropriates, or violates the intellectual property, publicity, or privacy rights of others;
• involves harassment, hate, exploitation, non-consensual adult content, or other abusive behavior;
• attempts to mislead others by impersonating a person, company, or brand in a deceptive way;
• attempts to reverse engineer, scrape, probe, or abuse the Service or underlying providers;
• uses bots, scripts, automation, or multiple accounts to bypass limits or obtain unauthorized benefits.

8. AI-generated content & limitations

Outputs are generated by machine-learning systems and may be inaccurate, incomplete, unexpected, or unsuitable for your intended use.

You are solely responsible for reviewing and validating outputs before using them in production, publication, distribution, advertising, or other real-world contexts.

Cinetica AI does not guarantee that any particular output will meet your expectations, be error-free, be free of artifacts, or be suitable for a specific purpose.

9. Third-party providers

Cinetica AI relies on external providers for AI processing, storage, infrastructure, payments, analytics, communications, and related services.

Your use of certain features may also be subject to those providers' terms. We are not responsible for outages, delays, failures, or errors caused by third-party services.

10. Service availability

We do not guarantee uninterrupted or error-free access to the Service. The Service may be temporarily unavailable due to maintenance, updates, technical issues, third-party outages, or other factors beyond our control.

11. Suspension & termination

You may stop using Cinetica AI at any time.

We may suspend, restrict, or terminate your access if you materially breach these Terms, misuse the Service, engage in fraudulent or abusive conduct, fail to comply with applicable law, or create risks for other users, providers, or the platform.

Suspension or termination may result in loss of access to your account, credits, and generated content to the extent permitted by law.

12. Disclaimer & limitation of liability

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

To the maximum extent permitted by law, Cinetica AI, Vervet Logic LLC, and their affiliates, owners, officers, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, use, or data arising out of or related to your use of the Service.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service shall not exceed the total amount you paid to Cinetica AI during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we may notify you by email, through the product, or by updating the date at the top of this page. Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms.

14. Governing law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to conflict of law principles, except to the extent otherwise required by applicable law.
